End User License Agreement (EULA) for Curriculum Download and Use

This End User License Agreement ("Agreement") is a legal contract between you ("Customer" or "User") and digitalLIFT (formerly Community Tech Network, or CTN) ("Company," "we," "our," or "us"). By purchasing, downloading, or using the curriculum materials created by digitalLIFT (the "Curriculum"), you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to the terms of this Agreement, do not purchase, download, or use the Curriculum.

1. Grant of License Upon acceptance of this Agreement and payment for the Curriculum, we grant you a limited, non-exclusive, non-transferable, revocable license to access, download, and use the Curriculum for your personal or organizational use, subject to the terms of this Agreement.

Intellectual Property The Curriculum and all its contents, including but not limited to text, graphics, images, audio, and code, are protected by copyright and other intellectual property laws. digitalLIFT retains full ownership of all intellectual property rights in the Curriculum, and no ownership rights are transferred to you by this Agreement.

6. Termination This Agreement is effective until terminated. You may terminate this Agreement by discontinuing the use of the Curriculum and deleting all copies. digitalLIFT may terminate this Agreement if you fail to comply with any of the terms or conditions outlined in this Agreement. Upon termination, you must immediately cease using the Curriculum and delete all copies in your possession.

7. Disclaimer of Warranties The Curriculum is provided "as is" and digitalLIFT makes no warranties, express or implied, regarding the quality, accuracy, or suitability of the Curriculum for any specific purpose. We disclaim all warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability To the fullest extent permitted by law, digitalLIFT shall not be liable for any damages, including but not limited to direct, indirect, incidental, special, consequential, or punitive damages, arising out of the use or inability to use the Curriculum, even if digitalLIFT has been advised of the possibility of such damages.

Indemnification You agree to indemnify, defend, and hold harmless digitalLIFT, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the Curriculum, your breach of this Agreement, or your violation of any rights of a third party.

10. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of [Your State], without regard to its conflict of law principles. Any disputes under this Agreement shall be resolved in the appropriate courts located in [Your County], [Your State].

11. Entire Agreement This Agreement constitutes the entire understanding between you and digitalLIFT with respect to the use of the Curriculum and supersedes all prior agreements, representations, or understandings regarding the Curriculum.

12. Modification digitalLIFT reserves the right to modify or update this Agreement at any time. Any changes to this Agreement will be posted on our website, and your continued use of the Curriculum after such changes will signify your acceptance of the updated Agreement.
